Terms of Service

These Terms of Service ("Terms") are a legal agreement between you (the "Customer", "you") and Gibney Technology Enterprises Limited ("ClientCollect", "we", "us") governing your access to and use of the ClientCollect service, websites and applications (the "Service"). By creating an account or using the Service, you agree to these Terms. If you use the Service on behalf of an organisation, you represent that you are authorised to bind it.

1. The Service

ClientCollect provides software for requesting, collecting and managing documents and information from your clients, including request and template building, a client portal, and related features. We may update, improve or change the Service over time.

2. Accounts and eligibility

You must provide accurate information, keep your account secure, and be at least 18 and capable of forming a binding contract. You are responsible for all activity under your account and for your team members' use of the Service.

3. Your clients' data and data protection

When you use the Service to collect documents and information from your own clients, you are the data controller for that personal data and we are your data processor. Our Data Processing Agreement is incorporated into these Terms and governs that processing. You are responsible for having a lawful basis to collect that data, for providing any required notices to your clients, and for the accuracy and legality of what you collect.

4. Acceptable use

You agree not to: use the Service unlawfully or to collect data you have no right to collect; upload malware or infringing, unlawful or harmful content; attempt to breach or test security without authorisation; interfere with or disrupt the Service; resell or provide the Service to third parties except as permitted; or use it to send spam. We may suspend access for material or repeated breaches.

5. Fees, trials and billing

Paid plans are billed in advance on a recurring basis according to your selected plan. Free trials, where offered, convert to a paid subscription unless cancelled before the trial ends. Fees are exclusive of taxes, for which you are responsible. Except where required by law, fees are non-refundable. We may change pricing on notice, effective at your next billing cycle.

6. Intellectual property

We and our licensors own all rights in the Service, including its software, design and trademarks. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. You retain all rights in your data and your clients' data. You grant us the limited right to host and process that data solely to provide the Service.

7. Third-party services

The Service relies on third-party providers (for example, hosting, payments and AI). Your use of features that depend on them may be subject to their terms. We are not responsible for third-party services.

8. Confidentiality

Each party will protect the other's confidential information and use it only as needed to perform under these Terms.

9. Disclaimers

The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose and non-infringement, and do not warrant that the Service will be uninterrupted or error-free. ClientCollect is not a law firm or an accountancy or tax practice and provides no legal, tax or professional advice; document checklists and templates are provided for convenience only.

10. Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special or consequential damages, or for loss of profits, revenue or data. Our total aggregate liability arising out of or relating to the Service will not exceed the amounts you paid us in the 12 months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited by law.

11. Indemnification

You will indemnify us against claims arising from your data, your clients' data, or your breach of these Terms or of applicable law.

12. Term and termination

These Terms apply while you use the Service. You may cancel at any time; your subscription remains active until the end of the paid period. We may suspend or terminate for material breach or non-payment. On termination, your right to use the Service ends; you may export your data for a limited period, after which we will delete or return it in line with the DPA.

13. Changes to these Terms

We may update these Terms. We will post the updated version and update the "Last updated" date, and notify you of material changes. Continued use after changes take effect constitutes acceptance.

14. Governing law and disputes

These Terms are governed by the laws of Ireland, and the courts of Ireland have exclusive jurisdiction, without prejudice to any mandatory consumer-protection rights available to you where you live.

15. General

These Terms, together with the Privacy Policy and DPA, are the entire agreement between us. If any provision is held unenforceable, the remainder stays in effect. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. Our failure to enforce a right is not a waiver of it.
